Jane Lin, CPA, is a technical accounting and financial reporting executive with 25 years of experience serving companies ranging from pre-revenue early-stage companies to $10 billion multinational publicly-listed corporations in the life sciences, software, technology, consumer products, and manufacturing industries.

Jane is a principal at Technical Accounting & Reporting Advisors (TARA) LLC, and serves as a technical accounting advisor, chief accounting officer, and corporate controller resource to companies and other consulting firms. In that capacity, Jane leads technical accounting and financial reporting processes and projects under US GAAP, IFRS, UK GAAP, and SEC reporting requirements.

Areas of Jane's technical expertise include: revenue recognition, convertible instruments with multiple embedded features and unusual settlement options, debt and equity classifications, derivative financial instruments and hedging, debt modifications and extinguishments, stock based compensation, business combinations, joint ventures, carve-out transactions, consolidations, variable interest entities, goodwill and long-lived asset impairments, and internal control over external financial reporting.

Prior to serving as a technical accounting advisor, Jane was an audit partner at Deloitte & Touche LLP primarily serving publicly listed companies. She led and directed multinational and multifunctional teams and advised management and audit committees on the accounting and reporting effects of complex transactions. She also guided companies through first time implementation and documentation of internal control processes and procedures to comply with the Sarbanes-Oxley Act. While at Deloitte, Jane was a revenue recognition subject matter resource on complex revenue accounting involving multiple element arrangements, gross to net adjustments, collaborative and milestone arrangements, software, services, discounts and allowances, and contract accounting. Jane also acted as a technical consultation resource on consolidation, convertible instruments, derivative financial instruments and hedging, internal control, IFRS, and SEC reporting.

Significant projects and transactions Jane has managed include:

  • Over fifteen IPOs raising funds ranging from $68 million to $300 million, two secondary offerings raising $3 million and $290 million, and two public bond placements aggregating $250 million, for both domestic and foreign filers.

  • Merger and reverse merger transactions ranging in size from $40 million to $530 million, including a publicly-held $500 million consumer products company which was taken private upon the merger.

  • Carve out (spinoff) transactions ranging in size from $5 million to $10 billion.

  • Accounting process redesign for a $1.6 billion publicly listed consumer products company.

  • Seven SOX 404 readiness projects for companies ranging in size from pre-revenue to $10 billion in annual sales.

Jane received a Master of Science in Accountancy degree from Bentley University, and a Bachelor of Science in Psychology degree from the University of Massachusetts at Amherst. Jane is a certified public accountant in the Commonwealth of Massachusetts. Jane is a member of the American Institute of Certified Public Accountants and the Massachusetts Society of Certified Public Accountants.
