ELIGIBILITY

Basic qualifications for the Refer-A-Friend and Refer-A-Company program:
  • You must refer an individual who purchases using the personal promo code we provide you and you may refer a company which has not been engaged with Illumeo in any previous, ongoing or prospective business relationship.
  • The individual which you refer must complete a paid subscription using your referral code so we can track and determine eligibility.
  • The company which you refer must complete a transaction with Illumeo for an annual license.
  • You must complete and submit the Refer-A-Friend/Company referral form on this page.
  • To claim the Referral Award, you will be required to provide your full address and a photocopy representation of your US Government issued ID. You may also be required to provide additional documents required for tax withholding purposes, such as a W-9 form.
  • Participants and referrals must be US citizens or companies based or operating in the United States.

    • REFERRAL AWARD FROM INDIVIDUALS

    When you refer an individual (the "Referee") and the individual purchases a subscription to Illumeo with your referral code, you will receive the "Individual Referral Award" of a $50 USD gift card at Amazon.com. The Individual Referral Award will be awarded three months after the start of the subscription so long as the subscription has not been cancelled and/or refunded.

    REFERRAL AWARD FROM COMPANIES

    If you refer a person that you already and personally know, via email and phone directly to Illumeo, and through that referral and the referree's actions, their company purchases an Enterprise subscription on Illumeo (the "Corporate Referree"), you will receive a check for 20% of their company's paid first year Enterprise Subscription Fee to Illumeo (the amount their company actually pays Illumeo for the first year of service) four months after the start of the subscription license so long as the subscription has not been cancelled by that time (the "Corporate Referral Award").
    For example: If we complete an Enterprise subscription for $10,000 based on your referral, then you will receive $2,000 after 4 (four) months.

    RESTRICTIONS

    The purpose of Illumeo’s Refer-a-Friend/Company program is to encourage users to introduce Illumeo to their colleagues, friends, and business partners. Illumeo does not allow and will not pay either an Individual Referral Award or the Corporate Referral Award for:
    • Use of the Refer-A-Friend/Company program for any purpose that is in any way unlawful or prohibited by these Terms;
    • The use of the Refer-A-Friend/Company program to send altered, deceptive or false source-identifying information or spam, including but not limited to sending out junk emails with the referral link.
    • Illumeo affiliates, instructors, and current or former Illumeo employees are not eligible to participate in this program.

    You are responsible for determining that participation in the Refer-A-Friend/Company program and receipt of the Referral Award is in compliance with all policies and requirements of your company as well as state, federal and all applicable laws. Your participation in the program will be considered confirmation of your full compliance with any such policies and requirements.

    Illumeo, at its sole discretion and for any reason, reserves the right to reject referrals, including but not limited to referrals for companies, that are duplicative, or are for existing customers, prospects or partners of Illumeo.

    If referring a company, the company which you refer must complete a transaction with Illumeo for an annual corporate license within 4 (four) months of the date of your original referral to us of that company. If an Illumeo sale transaction does not happen with that company within that time frame, any subsequent Illumeo sale to that company will be deemed to be not based on your effort and thus not eligible for any referral fee.

    Please note, Illumeo is not responsible for any service or product defects or product warranty relating to the Referral Award items, which shall be governed solely by the terms offered by Illlumeo directly to its customers.

    THE REFER-A-FRIEND/COMPANY PROGRAM AND THE REFERRAL AWARD IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OR COVENANTS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, AS TO THE OPERATION OF THE REFER-A-FRIEND/COMPANY PROGRAM, ANY MATERIALS OR ANY SERVICES OR PRODUCTS AVAILABLE IN CONNECTION WITH THE REFER-A-FRIEND/COMPANY PROGRAM, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.

    IN NO EVENT SHALL ILLUMEO BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, REGARDLESS OF THE TYPE OF CLAIM OR LEGAL THEORY ASSERTED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (I) THE PARTICIPATION IN THE REFER-A-FRIEND/COMPANY PROGRAM, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE REFER-A-FRIEND/COMPANY PROGRAM OR ANY REFERRAL AWARD, EVEN IF ILLUMEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ILLUMEO (WHETHER IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY, OR OTHER THEORY), ARISING OUT OF OR RELATING TO THE REFER-A-FRIEND/COMPANY PROGRAM, ANY PROGRAM RELATED MATERIALS OR SERVICES, OR ANY REFERRAL AWARDS, EXCEED $5.00.

    TAXES

    Illumeo is not responsible for any taxes, customs fees or other fees relating to the issuing of any referral award. All tax payments are your sole responsibility.

    If and to the extent Illumeo is required by an authorized tax authority to withhold any taxes on the Referral Award, Illumeo shall withhold any such amounts and provide all reporting required by law.

    PAYMENTS

    In order to receive your Referral Award you may be subject to additional payment requirement such as, for example, customs payments, income tax, etc. You are solely responsible for payment for all such taxes as they are levied and as they apply to you. Illumeo shall make no such payments and shall not be responsible for any payment of any amount required in order to allow the delivery and shipment to you other than the payment to the Common Carrier.

    TERMINATION

    Illumeo reserves the right to terminate the Refer-A-Friend/Company Program at any time at its sole discretion. Illumeo also reserves the right to terminate any Referral Award at its sole discretion, but not to be unreasonably withheld.

    GOVERNING LAW

    These Refer-A-Friend/Company program Terms and Conditions are governed by and will be enforced under the laws of the State of Delaware.
