Sarbanes-Oxley is by far the most wide reaching legislation that has impacted corporate financial reporting in more than two decades. The cost to companies has exceeded millions of dollars and continues to be a source of contention in relationship to the level of compliance required.

Sections 404 and 302 are the most time consuming and costly portions of the legislation. As the COSO organization continues to roll out updates on their internal control framework, organizations continue to search for new, automated, efficient methods to meet compliance requirements.

With the evolution of business since the 2002 passing of the legislation, the basic tenants of SOX 404 and 302 remain the same. However, professionals and organizations must stay attuned to the ongoing evaluation procedures by the PCAOB as well as the guidance on ICFR to ensure they are adequately meeting the expectations of the legislation.

We then focus specifically on SOX 404 and 302 and review requirements to effectively comply with the legislation. We evaluate SOX 404 design evaluation methods, documentation, risk sourcing, testing, and evaluation. For SOX 302, we evaluate requirements to adequately attest to internal controls on a quarterly basis.
